POSITION TITLESenior Corporate CounselLOCATIONMexicoOVERVIEWRESPONSIBLITIES- Draft, review and negotiate various commercial contracts and agreements, including software license, SaaS, consulting services/SOWs, subcontractor, partner, supplier, and non-disclosure agreements.- Lead the negotiation of contracts with relevant clients, suppliers, and other stakeholders.- Address legal queries and provide time-sensitive support to internal stakeholders relating to a variety of topics that impact the company's LATAM and North American operations, including various aspects of the law, contracts, customer and vendor relationships, compliance, intellectual property, privacy, litigation, entity, and employment.- Ensure company standards and processes are followed during the contracting process.- Collaborate with fellow attorneys and other internal stakeholders to develop and maintain templates, playbooks, contracting policies, negotiation practices, and escalation procedures.- Provide strategic advice and counseling to internal clients.- Coordinate work with outside counsel in LATAM.- Maintain up to date knowledge of industry-related legal issues.- Perform other responsibilities and special projects in support of the legal team's goals and initiatives.QUALIFICATIONS- Bachelor degree in Law (Master in International Law is a plus).- Fluent in Spanish and English (both verbal & written).Fluent in Portuguese (both verbal and written) is a plus.- At least eight years' experience drafting and negotiating technology related transactional agreements.In-house experience for a U.S. based corporation preferred.- Exposure to software license, SaaS, consulting services/SOWs agreements or other commercial agreements with complex intellectual property, licensing, privacy, indemnity, and liability issues.- Excellent communication skills and ability to establish relationships within the legal department and across all business functions worldwide.Ability to explain legal concepts to the business.- Ability to work efficiently to meet deadlines in a fast-paced, collaborative environment, prioritize work, and adjust to frequent workload fluctuations across multiple time zones.- Ability to provide a solutions-oriented approach while protecting the best interests of the company.- Excellent writing skills and attention to detail.Our ValuesIf you want to know the heart of a company, take a look at their values.Ours unite us.They are what drive our success - and the success of our customers.Does your heart beat like ours?Find out here:Core Values- Diversity, Inclusion, Value & Equality (DIVE)is our strategy for fostering an inclusive environment we can be proud of.Check out Blue Yonder's inauguralDiversity Reportwhich outlines our commitment to change, and ourvideocelebrating the differences in all of us in the words of some of our associates from around the world.All qualified applicants will receive consideration for employment without regard to race, color, religion, sex, sexual orientation, gender identity, national origin, disability or protected veteran status.
