This is Energizer Holdings, Inc. :Energizer Holdings responsibly creates products to make lives easier and more enjoyable.To do this, we lean into our culture as an organization - we win together, while serving each other, with a willingness to act boldly, all while doing right.Our colleagues hail from all backgrounds, nationalities and walks of life, but our shared mission and purpose make us one team.Because we’re a global organization, you will always have opportunities to learn, grow and develop in your career.We support flexible working arrangements wherever possible.Position SummaryThe mission of Energizer's Legal Department is to serve as a trusted business partner to our clients - utilizing our deep understanding of the business to proactively provide insights and data that help drive profit, while also providing clear risk-based counsel to defend our brands.We champion our culture of compliance and live our corporate values of integrity, respect, teamwork, innovation, passion, and initiative.Our department works hard to help the Company deliver on financial commitments, execute major corporate projects, and build a winning culture.Finally, as a team, we are passionate about positively impacting the world by helping to lead our company's ESG efforts, promoting diversity and inclusion in everything we do, and investing time in our people to drive professional growth and advance careers.And, throughout it all, we support each other and have fun togetherEnergizer is a global company that owns an extensive portfolio of some of the world's most recognizable brands and icons, including Energizer® and the Energizer Bunny®, Rayovac®, Eveready®, VARTA®, Armor All®, STP®, A / C Pro®, Eagle One®, Lexol®, Nu Finish®, California Scents®, Refresh Your Car®, Driven® and Bahama & Co.Energizer is seeking an experienced and motivated Corporate Governance Professional to be responsible for Energizer's subsidiaries across the globe.ResponsibilitiesUniversal Accountabilities – Ability to work independently and collaboratively in a fast-paced environmentMotivation and ability to prioritize among many tasks of competing importanceOrganization and strong attention to detailIntegrity and trustworthinessCustomer focusedSpecific AccountabilitiesThis role will have primary responsibility for the governance and compliance activities of Energizer's legal entities.This position involves working with internal stakeholders and external service providers across the globe.This position is expected to contribute to the success of the Company by combining corporate governance expertise with operational excellence.The role requires an individual who pays close attention to detail and drives tasks to completion, while simultaneously understanding Energizer's operations and strategic goals.Specific ResponsibilitiesCreating, maintaining current, and dissolving Energizer's global legal entities, including preparing and/or filing (or directing and overseeing the preparation and/or filing of) formation and governing documents, resolutions and written consents, statutory financials and annual compliance, director & officer appointments and resignations, and other corporate records for domestic and foreign subsidiaries.Ensuring Energizer's entity management system contains an accurate record of the Company's global subsidiaries, including registered address, ownership, directors and officers, powers of attorney, and other corporate information for all subsidiaries.Maintaining worldwide corporate structure charts and global subsidiary lists.Managing Energizer's legal entity service provider, local representatives and directors, and corporate agents that the Company engages within and outside the United States.Assisting cross-functional teams involving Legal, Finance, Tax and Treasury representatives on a variety of matters that involve legal entities including dividends and capital contributions, intercompany loans, internal restructurings, issuing powers of attorney, responding to KYC requests, and assisting with bank signatory appointments and removal.Designing, developing, refining, and simplifying processes by recommending and implementing systems and process changes to increase efficiency, support scalability, and ensure quality.Other duties as assigned.What we are looking forRequired Skills and Experience – Bachelors Degree or higher3+ years of corporate professional experience at a Big 4 Accounting Firm, large law firm and/or multinational company managing global subsidiariesProficiency with legal entity governance and complianceStrong written and oral communication skillsFluent in EnglishWorking RelationshipsReports to Associate Manager, Global Subsidiaries.
