**Propósito del rol**

Brindar asesoría jurídica al área de Markets, así como a las áreas de Tesorería, Casa de Bolsa y áreas soporte. El objetivo de la asesoría jurídica tiene por objeto identificar, notificar y mitigar los riesgos jurídicos relacionados con las actividades llevadas a cabo en el transcurso normal del desarrollo de las labores.

**Principales actividades**

Las actividades llevadas a cabo consisten en:

- Revisión, apoyo en la negociación, elaboración de contratos y documentos relacionados (confirmaciones, notificaciones, convenios modificatorios) con: (i) Operaciones Financieras Derivadas, (ii) Operaciones de Reporto sobre instrumentos deuda y capitales, (iii) Operaciones de Compraventa de Divisas y (iv) Operaciones de colocación de deuda por parte de clientes
- Elaboración de documentos y seguimiento a emisiones de deuda relacionadas con los proyectos de capitalización del Banco, tales como (i) Bonos Bancarios Estructurados, (ii) Certificados Bursátiles y (iii) Obligaciones Subordinadas, entre otros.
- Asesoría jurídica relacionada con las áreas de Markets: Tesorería, Back Office, Regulatory Compliance, COO, Onboarding, etc. Asimismo, a los equipos correspondientes a la Tesorería del Banco y de HSBC Casa de Bolsa.
- Análisis legal relacionado con las iniciativas de clientes internos, alineado en todo momento a las estrategias locales y globales de HSBC, manteniendo el enfoque de metas a mediano y largo plazo o incluso bajo presión.
- Seguimiento a trámites de otorgamiento de poderes requeridos por los funcionarios de Markets, Casa de Bolsa y Tesorería para el desempeño de sus funciones.
- Apoyo a las áreas de Compliance y negocio en relación a escritos y contacto con autoridades, para resolución de temas relacionados con Markets.
- Contacto con despachos externos y/o fedatarios públicos, buscando asegurar que el trabajo se entregue con una calidad óptima. Control de los costos internos y externos para los servicios legales que son provistos, manteniendo los gastos dentro del presupuesto aprobado.
- Llevar a cabo las acciones necesarias e implementar los controles debidos para mitigar el riesgo legal, reputacional y de conducta acorde a las políticas internas del Banco, derivado de las operaciones realizadas por el mismo Banco.
- Desafiar de forma constructiva las formas de trabajo, proponiendo mejoras sustentables al mismo tiempo que se busca asegurar el cumplimiento de las políticas del Banco para mitigar los riesgos, así como los marcos regulatorios de diversas índoles, para que sean implementados apropiadamente.
- Administración de información del área (poderes, contratos, etc.) acorde con políticas internas del Banco.
- Conocimiento y manejo del Framework de Riesgos Legales y políticas internas del Banco.

Las actividades antes mencionadas, deberán estar alineadas a las políticas internas del Grupo, legislación vigente aplicable entre otros.
Requirements
- Abogado titulado con mínimo 5 años de experiência en materias jurídico-financieras y/o corporativas, así como regulación de instituciones financieras en México
- Conocimientos en Derecho Civil, Mercantil, Corporativo, Bancario, Bursátil y regulación de Instituciones Financieras.
- De preferencia con experiência en mercados financieros de capitales, deuda, derivados y transaccional en general.
- Deseable maestría en Derecho Financiero o en el extranjero.
- Dominio básico de las siguientes competencias: Establecimiento de relaciones colaborativas, capacidad de proveer asesoría, entendimiento de las necesidades del negocio, adaptabilidad, autogestión y negociación.
- Otras competencias relevantes: Trabajo en equipo y bajo presión, capacidad de análisis, síntesis y de resolución de problemas.
- Dominio del idioma inglés (avanzado: escrito y hablado).
- Manejo de Microsoft Office nível intermedio.
- Manejo del web y fuentes de consulta electrónica a nível intermedio.
