**Legal**

The Legal area is a full-service in-house legal department responsible for a wide range of legal duties. By using our knowledge of Yara’s business and its corporate culture, legal proactively assesses and manages risks and deals with the legal matters Yara confront. Members of the Legal deal, to a great extent, with the preparation and negotiation of commercial contracts connected with Yara’s business activities, joint venture collaborations, and other major business development projects

**Responsibilities**:
**Role Statement and Mission**
- To legally manage in line with the goals and guidelines set forth by Yara Legal Latam
- To legally advice the development of the business in the countries
- To implement proper legal documents
- To identify legal risks, litigations, and legal contingencies in the countries
- To implement monitoring and reporting mechanisms

**Responsibilities and priorities**
- Ensure legal compliance with relevant laws and legislation, in line with priorities agreed with Management Team and Yara Legal Latam.
- Provide proactive, fast, effective, high quality and business-oriented legal support and advice in key projects, litigation matters, disputes and arbitrations.
- Proactively identify legal problems, solutions, and potential support needed to provide more strategic support to local teams.
- Ensure effective contract management, drafting, reviewing and negotiating contracts, as needed, from legal & compliance perspectives. Provide and implement best practices, as well as contribute for the improvement of the process.
- Manages and supports corporate governance of the local entity
- Acts as Secretary General - attends and coordinates preparation of Board of Directors and General Assembly meetings
- Advice legally other areas regarding different branches of law, specially commercial law, antitrust, data privacy, administrative, environmental and taxes.
- Handles litigations and/or manages and centralizes with the external counsels
- Handles administrative procedures started by Municipal, State and Federal Authorities
- Selects, assesses and follows up on external attorneys
- Provides advice in labour issues.
- Supports the obtaining of licenses and permits, and follows up on them
- Participate as a member of the management team

**Management duties**
- Leadership: create alignment across Legal and its interfaces with other areas in the countries
- Communication: collaboration and coordination with legal peers

**HESQ**
- Know and comply with the Policy, Safety Principles, guidelines and HESQ standards established by the company, based on the Safe by Choice philosophy, as well as the applicable legal requirements and Know and comply with the other requirements defined in the Matrix of HESQ Responsibilities, associated with their position / role.

**Profile**:
**Education**

Law degree - Mexico

Specialization degree: Commercial, Civil or Tax law.

Litigation or labor law skills are a plus but not necessary

**Work Experience**

At least 7-8 years of relevant legal experience, preferably commercial, civil and tax legal experience in a global law firm.
