Job TitleCorporate Governance Junior AttorneyPosition PurposeThis position is responsible for the México Corporate Governance Process. Duties include being responsible for the corporate secretary and intercompany operations in Mexico and abroad.Primary Accountabilities- Prepare and assist in all corporate matters and corporate secretary of the entity, including Partners Meetings, Corporate Books entries, capitalizations, dividends distributions, capital increases, approval of financial statements and Annual Meetings, modifications to the Articles of Incorporation of the entity, powers of attorney, among others related to the ordinary course of operations and corporate governance matters.- Prepare and review Commercial/Mercantile Agreements both in English and Spanish and Partners Meetings and/or Board Resolutions.- Prepare, coordinate and monitor all general and special powers of attorney required for the operation of the entity, including granting and revoking powers of attorney,authorizations, modifications, and record-keeping.- Assist and administrate day to day corporate matters and operations, and update legal corporate books, and database. Keep an accurate control and administration of physical and digital files, corporate database (articles of incorporation, powers of attorney,Meetings and Resolutions) in close coordination with Corporate Governance Attorney.- Coordinate, monitor and follow up with notaries.Education & ExperienceLevel of Formal Education: A Bachelor's degree (BA, BS) or equivalent.Area of Study: LawYears of Experience: Two to three years.Type of Experience: General law practice in Mexico, including experience with general corporate matters, corporate secretary, contracts and relationship with authoritiesSpecial Certifications or Technical Skills: Fluency in EnglishOther / Preferred: Experience working in a corporate environment (strongly preferred); experience working for a Mexico-based U.S. company.
