**JOB DESCRIPTION: REGIONAL LEGAL COMMERCIAL MANAGER (**LATAM)**ASP’s International Legal Team is poised for growth and innovation, and we are seeking a Contract Manager LATAM to support our commercial teams in the region. Reporting to the Regional General Counsel, International, this role will help drive improvements in ASP’s contract processes and policies, as the Contract Manager will be responsible for drafting, negotiating, and processing high volumes of commercial contracts required by ASP’s business. This role requires an understanding of a wide range of commercial contracts, and a creative and growth mindset to create growth-oriented contract templates. This role is for you if you are passionate about commercial transactions in our medtech industry. This role will be remote, based in any LATAM countries, with preference for Colombia or Brazil or Mexico.**Your main duties**:- Draft, negotiate, and process high volumes of commercial, technology and other legal documentation, including NDAs, terms of sales, distribution agreements, service agreements, purchase agreements, sourcing and supply agreements, commercial agency agreements, logistics agreements, HCP consultancy agreements, statements of work, amendments, and related commercial documents- prepare and maintain standard templates of contracts and legal documents; assist Regional General Counsel International work in drafting and negotiating complex contracts and legal documents- Review bids and tender documents under the guidance of Regional General Counsel International- Perform legal research in relation to a wide range of legal, regulatory and compliance issues where necessary- Design and provide trainings of legal procedures and policies, legal templates and contracting practices- Partner with compliance area in maintaining and enhancing infrastructure of ethics and compliance; implement related policies locally; maintain legal database and provide trainings to users of related systems- Serve as a key resource for ASP’s contract management process within ASP Global Legal and Compliance department- Help drive implementation of legal efficiencies using Fortive Business Systems to support and improve contract processes and operations- Provide supports in managing external counsels and associated administration work as directed by Regional General Counsel InternationalBe the main POC for all commercial legal matters, except but not limited to M&As, commercial reorganizations and Speak Up related legal assessments, where Regional General Counsel, International is to be involved.- Excellent interpersonal and communication skills, including the ability to collaborate with a team-spirited mindset, demonstrate business sense and partnering, and otherwise interact in a clear, concise and business-minded manner with colleagues and regional leadership.- Ability to handle confidential and proprietary information with full discretion- Constant attention to detail and follow-through; and ability to produce high-quality work product after being on-boarded- Ability to manage multiple priorities/tasks and high volume of contract work, under deadline pressure- Strong work ethics, self-motivated and ability to handle and advance multiple projects in a multi-stakeholder environment- Highly organized and disciplined with the ability to make sound decisions, while excelling in a fast-paced, multi-project and dynamic environment- Ability to be flexible and willing to accept new tasks or duties, when necessary.- Must be able to work autonomously, as well as act as a team player within the Legal Department and with all other stakeholders.**What We’re Looking For**- Minimum of 8 to 10 years’ prior working experience in the legal department of global health-care related company or an international law firm with a healthcare practice, with at least 3+ years’ working experience as in-house;- Experience in compliance is a plus;- Must be fluent in Spanish, English, and as a plus Brazilian Portuguese- Proficiency in Microsoft Office suite (primarily, Word, PowerPoint and Excel), Microsoft Outlook, Microsoft Teams and Adobe- Experience with contract life-cycle management and e-signature software tools- Extraordinary Teams**Your success will be measured by**:Success for the role is not defined solely on the outcome of a project but rather a combination of the “Performance for Growth” goals and how these goals were achieved:- Customer Success and Innovation- Kaizen is our way of life- We compete for shareholders**Fortive Corporation Overview**We are a global industrial technology innovator with a startup spirit.
