China Three Gorges Latam , leading renewable energy company, is seeking a Deputy Legal Director to join the team. The Legal Deputy Director will carry out the internal legal services for Kinich Energía and CTGI Group affiliates, supporting the Company’s departments from a legal standpoint as well as any administrative activities assigned to the Legal & Compliance department. The Legal Deputy Director will also support the Legal Director and Legal Manager carrying out a thorough legal risk prevention mechanism to protect the Company’s interests. The candidate shall be responsible specially of matters related to disputes, law suits and any kind of claims received or issued by the Company.
Key job responsibilities:
The Legal Associate shall undertake the internal legal support and advice to the Company, its affiliates and SPVs and shall perform the following general activities (but not limited to them):
Litigation and Administrative Proceedings
Be in charge of the disputes received and issued by the Company, provide advice on the strategy to follow, provide with the internal reports for CTGI and also assist the external lawyers with evidence gatherings, if applicable, in any litigation, arbitration, or administrative procedure.
Corporate Governance:
Prepare corporate governance issues within the Company and its subsidiaries, including draft and review of board and shareholder resolutions in accordance with best practices and in accordance with national regulations.
Support the Company’s Management and Board of Directors and the Secretary of the Shareholders’ Meeting and the Board of Directors, pursuant to the bylaws and the relevant corporate regulations. Oversee the relevant registries before the commercial registry of the Board and Shareholder resolutions.
Business Development Legal Advice
Legal advice in major economic activities of the Company, such as investments, financing, project construction and operation, guarantee issuance, and share and asset transfer.
Support the Legal Director to render legal advice to the management and the business development areas of the Company in the negotiation, drafting, execution, performance, and amendments of major contracts.
Draft of legal opinions for major decisions, and support to Legal Director while submitting investment proposals to the headquarters.
M&A
Participate in the different stages of transactions: drafting and negotiating preliminary documents such as non-binding offers, binding offers, letters of intentions, memorandum of understanding, etc.
Work with external lawyers while rendering the external legal due diligence; support the management deciding the transaction structure; drafting and negotiating transaction and ancillary documents, the material agreements; assist the business development areas in the execution and closing of asset or share purchase agreements; drafting of legal and compliance opinions related to the transaction based on the external due diligence and the available information.
General Legal Advice/Contract Management
Provide legal advice to the Company’s departments.
Contractual review and drafting of the Company contracts in accordance with the Contract Management Policy.
Review labour matters from a legal standpoint.
Draft and review of proceeding documents, assist the external lawyers with evidence gatherings, if applicable, in any litigation, arbitration, or administrative procedure.
Compliance System
Support Compliance Officer (when applicable) to execute the Company’s Compliance System related to Anti-Money Laundering, Terrorism Financing, Massive Destruction Arms Proliferation, and the Transparency and Business Ethics Policy.
In compliance with Mexican laws and regulations, adapt internal corporate polices to ensure compliance Mexican laws.
To ensure the protection and proper management of intellectual property.
Administrative Issues
Oversee procurement processes, including drafting of initiation documents, RFPs, evaluation outline, evaluation report, acceptance letters.
Prepare payment application forms, and payment instructions.
Prepare contract approval sheets, etc.
Others
Coordinate and manage the Company’s external legal consultants.
Review of reports requested by CTGI and CTG Corporation.
Requirements:
University Degree in Law and Accepted to practice in Mexico.
Relevant Post Graduate Degree
At least 5 years’ relevant experience related to Legal & Compliance functions, especially related to civil and commercial disputes and arbitration.
Demonstrated analytical and writing skills, results oriented and hands-on approach.
Demonstrated skills and experience in managing disputes and arbitrations.
Good communication skills
