Corporate Lawyer

Overview The Corporate Lawyer (Wholesale) is responsible for documenting and securing the transactions with the Dealers and Fleet customers, as well as reviewing the corporate documentation of these customers in order to ensure legal compliance with applicable laws and alignment with corporate guidelines and policies of GMF. This role will provide legal advice to GMF Commercial Credit, Commercial Risk and Compliance departments, among others departments. Additional responsibilities include: (i) manage legal procedures and complaints with external law firms (ii) monitoring the issuing of new laws and changes in regulations (iii) assist in maintaining up to date the corporate secretary records of the company (iv) loading customer information into databases and appropriate maintenance Responsibilities Elaboration and review of contracts including revolving and fixed term loans with and without guarantees, mortgages, promissory notes, confidentiality agreements, etc. Analyze legal documentation and follow up on legal projects that might impact the Commercial Credit and Commercial Risk areas. Review of public deeds (acts of incorporation, powers of attorney, etc.). Ensure that the legal information and documentation of Dealers/Fleets is updated and correctly registered. Provide legal services to the Commercial Credit area on a day-to‑day basis and in any event where the intervention of the legal area is required. Provide legal advice to Compliance department. Participation in business decisions to identify and mitigate legal risks, regarding legal documentation executed with Dealers/Fleets. Analyze lawsuits and legal documents related to judicial procedures and take the corresponding actions to attend and give proper follow‑up, as well as manage external law firms regarding these procedures. Give legal advice to Human Resources regarding Labor Law. Review day by day the issuing of new laws and changes in the regulation, informing and advising the related areas of the company. Draft the proper corporate documents of the Company (shareholders and board of directors meetings, powers of attorney, etc.). Planning and organizing its workload related items, such as response time, pending items & diverse projects assigned in the area. Qualifications Bachelor degree in Law. Fluent in both English and Spanish (will be evaluated). 3+ years of experience in Financial Entities, Banks, Law Firms or Public Notaries. Experience with litigation. Knowledge of Corporate, Commercial, Civil and Banking Laws. Legal analysis skills. Capable of working in multidisciplinary teams. Ability to understand and analyze legislation from other countries besides Mexico. Knowledge in structuring of credit products (loans and securities). Organizational skills.
