Legal Sr Manager Latam

General Objective:Lead and consolidate the legal function across all of LATAM, including but not limited to ensuring regulatory and legal compliance, overseeing risk management, and the integration of multiple entities resulting from recent acquisitions. Responsibilities include strengthening corporate governance, legally protecting the company, negotiating contracts, advising employment law issues, aligning the legal teams across different Business Units, and serving as the liaison with the Global Legal team. The role is also responsible for working with and managing outside counsel during mergers and acquisitions in LATAM, from the due diligence phase through post-acquisition legal integration, ensuring an orderly and sustainable regional expansion.Key Responsabilities:Oversee legal compliance across LATAM, ensuring adherence to labor, tax, commercial, environmental, and regulatory requirements.Develop, implement, and monitor compliance policies aligned with global and local standards.Lead corporate governance activities, including legal entity management, corporate records, powers of attorney, and statutory obligations.Manage legal processes for mergers and acquisitions, including due diligence, risk assessment, negotiations, closing, and post-acquisition integration.Provide strategic legal counsel to regional leadership and Business Units on contracts, regulatory issues, labor matters, corporate structure, and litigation.Draft, review, and negotiate key commercial contracts with clients, suppliers, distributors, and partners.Coordinate and oversee litigation, legal disputes, and negotiations across the region.Select, manage, and evaluate external law firms, ensuring quality, efficiency, cost-effectiveness, and alignment with corporate legal standards.Align and coordinate local legal teams under a unified legal and compliance framework.Act as the liaison with Global Legal, ensuring execution of policies, ethical standards, and governance requirements.Deliver training to leaders and teams on legal risks, compliance, and business ethics.
