Job Title: Corporate Counsel

About the Role:

We are seeking a highly skilled Corporate Counsel to join our team in Mexico. As the primary legal business partner, you will provide legal advice on corporate matters, including powers of attorney, annual accounts, share transfers, and corporate governance. You will also support M&A transactions and corporate reorganizations, including due diligence, acquisition agreements, and investment agreements.

Key Responsibilities:
  • Provide legal advice on corporate matters, including powers of attorney, annual accounts, share transfers, and corporate governance.
  • Support M&A transactions and corporate reorganizations, including due diligence, acquisition agreements, and investment agreements.
  • Draft, review, and negotiate commercial agreements and ancillary documents.
  • Communicate with and manage third-party bodies, such as external counsels, public notaries, or auditors.
  • Support the authorization and maintenance of licenses with regulators in Latam.
  • Draft regulatory analysis reports.
  • Ensure compliance with all laws and regulations that apply to the business.
  • Promote legal, compliance, and risk management best practices throughout the company.
  • Design and deliver legal training to the business and operational teams.
Requirements:
  • Bachelor's degree in Law.
  • Fluent in Spanish and English. Portuguese will be a plus.
  • Experience of 12-16 years in similar roles, in a multi-national environment.
  • Experience in providing legal advice in various jurisdictions gained in a major international law firm or in an international payments/payment processing company.
  • Experience managing a team in charge.
  • Outstanding analytical skills.
  • Proficient in MS Office (Excel, Word, PowerPoint) and Google Workspace.
  • Good organizational/time management skills, structural thinking.
