Position

The Corporate Lawyer is responsible for providing comprehensive legal advice to the organization, ensuring compliance with applicable laws and regulations. Their primary role is to protect the company's legal interests, support strategic decision-making, and manage contractual, corporate, labor, regulatory, and corporate governance matters.

Requirements

  • Bachelor's degree in Law (mandatory)
  • Advanced English (mandatory)
  • Preferably a postgraduate degree or specialization in Corporate Law, Commercial Law, or related fields.

Experience

  • 3 to 5 years of experience in corporate, business, or commercial law.
  • Experience in contract negotiation and drafting.
  • Knowledge of labor, tax, commercial, and data protection regulations.

Technical Knowledge

  • Commercial and corporate law.
  • Contract drafting and analysis.
  • Regulatory compliance and legal risk management.
  • Intellectual property.
  • Basic corporate litigation.

Functions and Responsibilities

  • Advise the company on legal, contractual, corporate, regulatory, and compliance matters.
  • Draft, review, and negotiate commercial contracts, confidentiality agreements, collaboration agreements, employment contracts, and other legal documents.
  • Work closely with HR on activities involving the legal area
  • Manage corporate matters: company incorporation, bylaw amendments, minutes, powers of attorney, shareholders' meetings, and compliance with obligations before regulatory authorities.
  • Monitor legislative changes and assess their impact on business operations.
  • Legally represent the company before administrative, regulatory, and judicial authorities, when applicable.
  • Coordinate and supervise external legal services.
  • Implement internal compliance policies, legal risk management, and personal data protection.
  • Respond to internal inquiries from different areas of the organization and support strategic projects.
  • Maintain control and filing of relevant legal documentation, contracts, and corporate records.
