1.1. The Plant Manager performs his duties in accordance with the authorizations conveyed to directors under the Civil Code Act, the company’s Articles of Association, and any other tasks or responsibilities entrusted to them by the board management and the procurator of the Company Group.

1.2. In particular, the Plant Manager shall have the following tasks and responsibilities:

- managing the work process and company operations, and representing the company vis-a-vis third parties,
- preparing the annual business plan in coordination with the management staff, which serves as a basis to ensure the company operates in line with its business strategy, which must be defined for a period of not less than four years,
- cutting operational costs on an ongoing basis,
- preparing concrete proposals for the company’s annual business plan and business policy, and its medium
- and long-term development,
- preparing the annual report on the operations, based on the annual income statement and balance sheet, with relevant proposals for improving the company’s performance,
- preparing proposals for the company’s internal organization and ensuring an optimal staff roster, as well as constant professional and general training and advancement of employees,
- ensuring compliance with occupational health and safety regulations,
- ensuring execution of group-level projects assigned to the director under the business plan,
- observing laws and amendments thereto, insofar as relevant to the company,
- notifying the members of the company and obtaining the members of the company's consent to the execution of transactions which require member's consent,
- coordinating individual activities of the company with the activities of other Group companies.

1.3. The Plant Manager shall carry out their tasks in accordance with the standards of care and diligence befitting a fair and prudent manager acting in the company’s interest, and must dedicate their full working time, knowledge, and experience to the company’s operations and to fulfilling the obligations and responsibilities assigned to them.

1.4. The Plant Manager shall conduct themselves and use their influence to develop good interpersonal relationships between employees and encourage creativity among employees, as well as care for their professional and general education across all levels of the work process.

1.5. The Plant Manager shall maintain a fair and unbiased demeanour toward all employees. The Plant Manager shall dedicate particular attention to the selection of their team members, especially those entrusted with tasks which carry a high level of responsibility and complexity, so that they are able to ensure the company’s ongoing development. The Plant Manager shall have exclusive responsibility for the selection of the team of employees.

1.6. The Plant Manager shall have the right and obligation to pursue training and attainment of knowledge on an ongoing basis, in accordance with the requirements arising in the course of performing their work duties. The company shall cover the costs of such training.

1.7. The Plant Manager shall be liable to the company for any damages arising from violation of their duties, unless they can demonstrate that they fulfilled their duties fairly and conscientiously.
