Legal Analyst

**Summary**

Accial Capital is looking to hire a Legal Analyst. The position is a great opportunity for a professional in the legal industry to advance her or his career at the intersection of technology, impact investing and structured credit. As a Legal Analyst, your role will be to report and work hand-in-hand with the Legal Director across Accial Capital Management and Accial Capital managed funds and investments worldwide.

**About the Position**:
**What You’ll Do**:

- **Global structuring of credit transactions**
- Engage with external US and local legal counsel to support design and execution of structured credit transactions on a global basis.
- Analyze diverse structuring options and make recommendations to the Investment, Risk, and Legal teams based on legal certainty and commercial and operational goals.
- Manage structuring calls with counterparties to ensure the on-time delivery of final documents and transactions closing.
- Works across multiple documents and internal and external meetings to ensure that transaction documentation is internally consistent and reflect the commercial and operational goals of the firm.
- Review and verify that all legal opinions and conditions precedent are satisfied before advancing the transaction.
- **Support Syndication Efforts**
- Engage and cooperate with external legal counsel and the investment team at our investment partners to ensure transaction documents are appropriately drafted and executed on schedule.
- **Monitor Investments to Ensure Legal Compliance**
- Review and analyze that all security/collateral documents, service agreements and other legal documents are appropriately maintained (Process Agents, Transaction Agents, etc.) jointly with the operation team.
- **Close Out Investments**
- Draft, review, and negotiate all security documents that need to cancel upon the completion of final payment.
- In the event of any non-performing investments, ensure the delivery of the appropriate and timely drafting and execution of notices in accordance with the law. Work, jointly with the Director of Legal, external counsel, CRO, and CIO to determine optimal strategies to maximize the probability of recovery.
- **Support Capital Raising Activities**
- Assist the Director of Legal jointly with the external legal counsel in preparing legal documents related to fundraising (PPMs, subscription documents, purchase agreements, loan agreements, etc.).
- **Internal Legal Support**
- Review ancillary legal documents (e.g. NDA, incorporation documents, SaaS Agreements, etc.) and identify when is necessary to engage external legal counsel.
- Maintain all legal documentation of the Accial duly updated.
- Draft of the internal documentation and agreements as requested by other areas within Accial.

**Desired Qualifications**:

- Bachelor’s legal degree from a recognized school.
- Masters-in-law or LL.M. is not strictly required, but it will be considered a plus. Specialty degrees and certifications as well.
- [5]+ years of relevant professional experience, preferably in structured credit transactions in emerging markets.
- Fluent business English, preferably fully bicultural individual with exposure to diverse business and cultural environments.
- A proven ability to manage multiple, parallel processes with diverse stakeholders.
- Exceptional problem solving and critical thinking skills.
- Hunger to learn about the commercial side of structured credit transactions and an increasing ability to match both legal and commercial interests in firm-level decision making.
- Extreme detail orientation.
- Experience working and succeeding in emerging markets.
- Excellent communication and organizational skills.
