The Role As the Legal Counsel for Mexico, you will provide legal support within the contracting process, working with business and internal clients to draft, negotiate and execute beneficial commercial agreements for Overhaul relationships in Mexico. Key focus will be on all relevant terms for proprietary SaaS and managed services within the logistics industry specific to Mexico commerce including current knowledge of Mexico government federal and local permits, certifications and / or licenses to operate. How You Will Make an Impact Collaborate with internal clients to review, draft and negotiate commercial agreements, including NDAs, sales contracts, direct and indirect supply contracts, licensing and data sharing agreements Work with business and commercial teams to develop negotiation strategies and enforce contract standards Manage Operations Permits and Licenses for granting different government federal and local permits, certifications and / or licenses to operate (i.e. Civil Protection, Private Security, Safety at Workplace, etc.). Manage audits and inspections run by authorities including facilities inspection, healthcare and labor ministry, private security agency, permits compliance, etc. Private Security Training - Mandatory trainings by the private security authority for all operating personnel. Filing of necessary registries before the authorities so that the operational personnel is registered in the national registry of persons in private security. Support to different areas of the company on issues such as : Labor issues, criminal matters, administrative matters, relationship with unions and coordination of specific legal service providers : criminal legal counsel. Compliance of Corporate Records and certifications. Attorney at Law for Government Purposes. Create and maintain compliance policies and corporate records. Notary Public management. Maintain database of contracts and forms, tracking status of negotiations and supporting renewals Familiar with legal tech tools and in the automation of all enterprise legal documents Develop and implement projects to simplify processes, automate existing contract cycles, eliminate bottlenecks, and scale in response to the growth of the business What you need to know Licensed to practice law in Mexico and 5-10 years of legal experience with a law firm and / or in-house position. Broad experience relating to legal and business issues confronting SaaS, data privacy, data management and cargo insurance in the logistics industry. Experience negotiating and drafting global and regional contracts and advising clients with contractual interpretation and understanding. Current regulations for Mexico government federal and local permits, certifications and / or licenses to operate. Ability to develop and manage relationships with multiple clients. Ability to collaborate with peers and internal clients and global Overhaul team members across a complex organization. Eager to learn, grow, develop and be part of an industry leading organization.
