Counsel, Corporate & Securities Thomson Reuters is a global content and technology company listed on TSX/NASDAQ. We are looking for a Counsel in our General Counsel's Office. Overview As Counsel, Corporate & Securities you will lead corporate governance and support a broad range of corporate transactions across multiple jurisdictions. Responsibilities Corporate Governance Lead: coordinate subsidiary governance projects across multiple countries, ensuring timely execution. Oversee and manage daily subsidiary governance activities for EMEA and other global entities, ensuring compliance with local regulations. Draft and review corporate agreements, resolutions, and supporting documentation, including internal restructurings and reorganizations. Assist in preparing public company and subsidiary board of directors and committee materials; coordinate board meetings. Respond to information requests, manage corporate history records, and collaborate with various Corporate Departments (Tax, Treasury, HR, Accounting) as well as external counsel. Provide legal analyses for intercompany restructurings, agreements, and corporate housekeeping matters. Assist Treasury / Finance with public debt offerings, banking/credit facility matters, share buyback programs, and other treasury matters. Support compliance with applicable Canadian and U.S. securities and stock exchange requirements. Draft legal support for incentive/equity compensation plans and agreements. Help with special projects in the General Counsel's Office, manage outside counsel, and perform other duties as assigned. Qualifications LL.B. or J.D. in good standing, called to the Bar of a Canadian province or qualified lawyer in Mexico with at least 3 years’ post‑qualification experience. Licensed to practice law in Ontario or Mexico. Minimum 3 years of legal experience with corporate governance focus. Strong knowledge of Canadian or foreign corporate law. Excellent organizational, communication, and project‑management skills. Ability to work independently and collaboratively in a global environment. Strong attention to detail and ability to manage multiple priorities.
