**Legal Counsel** **(** SD**)****PRIMARY LOCATION**: MEXICO-CIUDAD DE MEXICO-MEXICO CITY**ORGANIZATION**: Group Operations**CONTRACT TYPE**: RegularSCHEDULE**: Full-time**DESCRIPTION****_Mandate_**- The Legal Counsel will provide legal support to the AXA GO teams in Mexico and other jurisdictions where AXA GO operates on all legal matters and render quality and timely legal advice and services to various business units to ensure compliance of AXA with local laws & regulations and Group standards and requirements._- The Legal Counsel will design responsive solutions and manage legal risks to help AXA GO achieve its goals._**_Activities_**- The Legal Counsel will provide legal advice to business, represent AXA with interactions with government agencies and regulators, conduct contract review with third-parties or other AXA entities for IT and non-IT products and services, and ensure corporate secretary is properly performed for AXA Group Operations in Mexico._- This role is accountable for management of legal advice to AXA GO senior stakeholders and is the custodian of AXA GO’s archive of contracts, regulatory filings and government approvals. _- The Legal Counsel will negotiate contracts and provide legal advice to internal stakeholders, and notably:_- _Design, negotiate and monitor the conclusion of intercompany agreements between any AXA Group Operations entity and its customers (i.e. AXA Group companies worldwide) _- _Animate and support Group initiatives where dedicated Legal expertise is requested_- _Train and raise awareness about Legal/Regulatory items to non-expert people or external families (Knowledge Management)_- _Act as a legal Business Partner in all activities relating to intragroup contractual negotiations_- _Supervise and review the creation and update of templates of agreements, in coordination with business partners, and train internal clients_- _Advise on legal processes and execution of contracts, in coordination with internal partners_- _Maintain technical expertise in field and promote it internally_- _Contribute to Corporate Governance and M&A activities/projects_- _Contribute to the improvement of the legal department’s processes and tools_**_MAIN TASKS & RESPONSIBILITIES (summary)_**- _Provision of legal advice to business units _- _Provide legal advice on legal and concerns to come up with responsive resolutions_- _Provide timely and quality advice to IT, Finance, Procurement and other internal customers_- _Compliance of correspondences, articles, contracts and other documents of the company with legal and business requirements_- _Interactions / liaison with government agencies _- _Represent the Company in dealings with government agencies_- _Filings with local administrations_- _Contracts’ review (IT and non-IT)_- _Review third-party contracts (in English and Spanish) and amend as required to ensure compliance with AXA internal risk controls & best practice - using standard templates as a guide._- _Review third-party contracts (in English and Spanish) and amend as required to ensure alignment to best commercial practice to protect AXA position now and in the future_- _Review internal managed service agreements (MSA) and ensure compliance with best commercial practice, risk controls and local country laws and regulations_- _Custodianship of Company archive of contracts, regulatory filings and government approvals_- _Administer the maintenance of legal documents and department’s e-Library_- _Manage potential company litigation_- _Provide legal advice on issues arising from actual or anticipated lawsuits_- _Analyze litigation cases handled by external counsel at key stages to guide management on the proper course of action to take_- _Represent the Company or its officials in various legal proceedings_- _Perform proper management of legal cases including cost-effectiveness_- _Mitigate legal risks_- _Implement best practices in Corporate Governance and manage Corporate Secretarial Work_- _Ensure all corporate governance responsibilities are completed for the board, stockholders and committee meetings, certificates of approved resolutions, and other corporate documents_- _Act as custodian of AXA GO archives of contracts and filings_- _Stakeholder Management _- _Manage communication to stakeholders to ensure there is an adequate level of communication between all relevant parties_- These activities cover the management of a range of intercompany agreements on a recurring basis as well as frequent one-off projects, in particular IT, Innovation, Finance and Security projects._- These responsibilities aim at ensuring that AXA GO is always compliant with international/local legislations/regulations and would not be exposed to sanctions, fines or lawsuits._**QUALIFICATIONS****REQUIRED SKILLS**- Qualification to act as a lawyer in Mexico- Contractual legal experience in law firm(s) and/or in-house- High standards know
