**Job Title**: Attorney / Lawyer**Position Type**: Full-Time, Remote**Working Hours**: U.S. client business hours (with flexibility based on case/project demands)**About the Role**:Our client is seeking a qualified Attorney to provide legal guidance, draft and review contracts, ensure regulatory compliance, and support litigation or corporate matters. This role requires strong legal judgment, excellent drafting and research skills, and the ability to partner with executives, managers, and outside counsel.**Responsibilities**:- Contract Work: Draft, redline, and negotiate contracts (NDAs, MSAs, employment agreements, vendor/supplier contracts, leases).- Legal Research & Advisory: Use platforms such as Westlaw or LexisNexis to research statutes, regulations, and case law. Deliver practical recommendations to business leaders.- Corporate Governance: Prepare board resolutions, shareholder agreements, and entity formation or restructuring documents.- Compliance: Monitor and advise on compliance with industry-specific regulations (GDPR, HIPAA, SOX, FTC, employment law, etc.).- Litigation & Disputes: Draft pleadings, discovery responses, and motions. Manage outside counsel, track litigation calendars, and ensure deadlines are met.- Regulatory Filings: Prepare filings with federal, state, or industry agencies as needed.- Documentation & Recordkeeping: Maintain accurate, secure legal records.
