Investment Banking Vice President – Infrastructure, TMT & Logistics
Advisory – Mergers & Acquisitions (M&A), Equity Capital Markets (ECM) & PF Advisory
Responsibilities:
- Advise clients on equity and debt transactions in the Infrastructure, TMT & Logistic industries.
- Execute M&A, ECM and PF Advisory transactions: sales, acquisitions, mergers, capital raises, restructurings, fairness opinions, and valuation reports.
- Analyze historical financial information of companies, industry, market and economic data.
- Collaborate with the Product / Country Manager and Bankers in the origination of operations/deals (pitches, Request for Proposals, price & conditions, etc.
- Lead the preparation and execution of M&A/ECM/PF Advisory operations including:
Supervision, review or elaboration of the financial model, preliminary transaction price definition and fairness opinion, if required.
Elaboration of marketing materials such as teasers, CIMs, management presentations, board materials, memoranda, and other presentation materials for use in transactions or strategic client dialogue.
Coordinate due diligence processes and collaborate with external advisors.
Review and comment of transaction documents such as SHA, SPA, APA, etc.
- Provide a comprehensive financial advisory service to clients at top levels, delivering tailored advisory &/or financing solutions.
- Responsible over the internal and external administrative tasks related to the deals:
- Liaise alongside other CIB products for fostering product’s cross-selling and with CIB support units for the deal execution.
- Engage in training and mentoring of junior specialists and interns. Manage and develop the team of Associates and Analysts, overseeing the preparation of marketing materials and financial models (levered and unlevered discounted cash flows, comparable company analysis, leveraged buyouts, etc.).
- Ensure the application of Group policy and adherence to regulatory, financial, and legal standards to minimize business and reputational risks.
- Collaborate in defining the business strategy, business plan, budgets and financial forecasts for the unit.
- Develop and foster relationships with new and existing clients, and participate in origination activities.
Qualifications & Education requirements:
- 6-10 years of experience in investment banking, private equity, equity research or other similar financial backgrounds.
- Bachelor’s degree in Finance, Economics, Accounting, or Business Administration preferred. Master’s degree and CFA are a plus.
- Strong financial, communication and managerial skills.
- Organized, well-planned and able to work in a fast-paced environment with great attention to detail.
