Job Title: Strategic Legal Director

Join MSD as a Strategic Legal Director and take on the responsibility of providing legal advice to our Human Health Sales and Marketing organization, Global Support Functions in Mexico, and limited support to our Research & Development Division and Manufacturing Division.

As a Strategic Legal Director, you will be based in Mexico and will not include relocation support. Your primary focus will be on ensuring that our company maintains its values and high ethical standards, complies with the law, protects our people, and enhances our reputation.

We are looking for an experienced attorney who can provide strategic legal advice and guidance to our business teams. You will need to have strong analytical and problem-solving skills, excellent communication and negotiation skills, and the ability to work effectively in a fast-paced environment.

Key Responsibilities:

  • Interpret laws, policies, and regulations for the Company and advise on business transactions involving internal affairs, stockholders, directors, officers, and corporate relations with the general public.
  • Manage all legal documents, materials, and information necessary for proper administration of corporate matters of all entities in the territory, including books and records relating to corporate housekeeping.
  • Prepare quarterly and annual legal affairs reports required by the Company.
  • Assist and advise on the negotiation and drafting of all major contracts and internal legal memos/opinions associated with sales and marketing events after reconciling their compliance with legal and policy requirements and ethical business practice standards.
  • Analyze the legal and ethical aspects of all judicial and extrajudicial claims by or against the Company, direct and coordinate all lawsuits and administrative proceedings, including selection and monitoring of outside counsel for advice in any area of the Company operations.
  • Review and proactively advise on the legal and ethical aspects of the Company's marketing plans and promotional materials.
  • Provide Compliance services, which comprise advising on all Company compliance policies and procedures, including but not limited to patient programs, promotional events in general, reviewing and advising on Foreign Corrupt Practices Act Due Diligences and risks mitigation action plans, conducting Tier 2 investigations and supporting Tier 1 investigations when requested by the Corporate team, participating in the country Compliance committee, the Grants & Donation committee, as well as other compliance advisory boards.

Requirements:

  • Graduated from a law school and licensed to practice law in Mexico.
  • At least six (6) years of legal practice as an Attorney with a law firm or corporate legal department.
  • Experience in commercial, labor, antitrust, litigation, and regulatory required; experience in Mexico.
  • Experience in Health Science and anti-kick back laws desirable.
  • Effective communications skills in English and Spanish, both written and spoken.

Salary: We offer a competitive salary range of $120,000 - $180,000 per year, depending on experience.
