**Key Responsibilities**

  • Act as the primary point of contact for legal entity management in the Region.
  • Collaborate with the global corporate team to develop and implement entity management systems.
  • Support the LATAM business on general company secretarial administrative matters.
  • Serve as the central point of contact between outside service providers, legal team, and internal stakeholders.
  • Assist in the production of Annual General Meetings (AGM), board, and shareholder communications for a portfolio of legal entities.
  • Prepare, coordinate, and supervise local regulatory filing submissions, including approvals.
  • Prepare and control all Powers of Attorney issued in the Region.
  • Maintain corporate panel directorship appointments, including preparation of associated documentation and reports.
  • Work with internal staff and external advisors to facilitate subsidiary formations, capital changes, dividend payments, reorganizations, and dissolutions.
  • Manage outside counsels for corporate matters in LATAM.
  • Coordinate and consult with business units, legal advisors, auditors, treasury, tax experts, service providers across multiple jurisdictions on matters of corporate governance and other complementary issues in LATAM.

**Requirements**

  • Fluent English language skills (Speaking, Listening, and Writing, including technical writing for contracts and notifications).
