Senior Counsel, Corporate Development Lead

At Zendesk, Inc., we are seeking a seasoned Senior Counsel to join our growing world-class legal team. This role will facilitate growth and mitigate risk through support of the corporate function. You will have the opportunity to make a lasting impact on an active strategic transactions program at a high-growth company.

This position reports to the Director, Corporate and Securities, who leads governance, securities, and strategic transactions for the company. The position is remote eligible.

Key Responsibilities:
  • Lead the M&A function for the legal team, fostering growth and expansion through acquisitions by developing strategy and structuring for critical strategic transactions.
  • Negotiate principal deal-related documents to manage risk for the business.
  • Realize efficiencies through leading outside counsel and cross-functional diligence teams.
  • Advise business leaders on legal and strategic risks and propose business-oriented solutions.
  • Work with integrations counsel, the Integrations Management Office, and cross-functional teams to develop realistic and healthy integration plans.
  • Assist the Corporate Legal team on various other corporate matters, including entity management, investor relations, corporate governance, and securities regulations.

Requirements include 7+ years of combined corporate and M&A experience, a Juris Doctor degree from an accredited law school, and US state bar active membership in good standing. Expertise in the M&A process, comprehensive understanding of tech M&A strategic risks and opportunities, and mastery of key negotiation points and market positions for the tech industry are also necessary.
